Definitions

1. Individual or Individual User – An “Individual” or “Individual User” is defined as a person signing up through www.timeandtalent.net, signing up through a subscriber’s cloud application, or signing up using a subscriber’s login to provide information to the subscriber.
2. Subscriber – A “Subscriber” is defined as any Registering Organization, church, organization, institution, non-profit, or other entity or person that pays for a subscription for the use of a cloud application through timandtalent.net, or its related sites.
3. Web Sites - "Web Sites" are defined as domains and servers used to serve the Time and Talent Network, including but not limited to https://timeandtalent.net

Copyright

1. All content included on the Web Sites, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Web Sites' owners, contractors, content suppliers, and software suppliers and is protected by United States and international copyright laws.
2. All content on Web sites is the exclusive property of Web Sites’ owners, contractors, content suppliers, and software suppliers and is protected by United States and international copyright laws.
3. All software used on Web Sites is the property of Web Sites’ owners, contractors, content suppliers, and software suppliers and is protected by United States and international copyright laws.

EULA (End User License Agreement)

1. By completing any purchase you agree that a contract relationship exists between the Subscriber and The Samaritan's Cloud Corporation.
2. Any Individual User(s) signing up through timeandtalent.net or signing up using a Subscriber’s login become the full and sole and exclusive responsibility of Subscriber and Subscriber(s) hereby hold The Samaritan's Cloud Corporation harmless from and indemnify them against any liability arising out of any violation of this term.
3. All Individual Users and Subscribers shall comply with the Code of Conduct and all other terms agreed upon through registration in addition to any terms and conditions of use the Subscriber may require. Subscriber(s) shall not sell nor distribute any data collected by Subscriber(s) and Subscriber(s) hereby hold The Samaritan's Cloud Corporation harmless from and indemnify them against any liability arising out of any violation of this term.

Disclaimer of Warranties and Limitation of Liability

1. THE AFOREMENTIONED SITES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NO REPRESENTATIONS OR WARRANTIES OF ANY KIND ARE MADE, EXPRESS OR IMPLIED, AS TO THE USE OF AND THE OPERATION OF THOSE SITES AND THE INFORMATION, CONTENT, MATERIALS, AND PRODUCTS INCLUDED ON THIS SITE.
2. YOU EXPRESSLY AGREE THAT YOUR USE OF THE timeandtalent.net and related web sites IS AT YOUR SOLE RISK.

Subscriber’s Responsibility to Perform Background Checks

1. The Samaritan’s Cloud Corporation And Time and Talent Network DO NOT perform background checks on any Individual User nor Subscriber signing up to participate with The Samaritan's Cloud Corporation and Time and Talent Network and/or the Subscriber.
2. It is the sole responsibility of the Subscriber to perform all background checks, including but not limited to criminal background checks, on individuals signing up to participate with Subscriber. Furthermore, The Samaritan’s Cloud Corporation And Time and Talent Network WILL NOT be responsible or liable for any damages of any kind resulting from the Subscriber’s failure to perform background checks, including but not limited to criminal background checks, on Individual Users signing up to participate through Subscriber and/or through the Time and Talent Network.

Accessibility

We make every effort to have Web Sites accessible for all Individual Users and Subscribers. If however, the Subscriber or Individual Users are unable to use Web Site(s) due to the technical limitations of Web Sites(s), we will make all reasonable efforts to be available during regularly scheduled business hours to help Individual Users and/or Subscribers perform the tasks they intend to perform through the Web Site(s), subject to the Terms and Conditions.

Leadership Responsibilities

Subscribers are not required to appoint leaders, but if Subscriber does so it is Subscriber's obligation to inform the the appointees of the Terms and Conditions which are applicable, and to supervise any such leader's interaction within the Time and Talent Network and The Samaritan's Cloud Corporation. If Subscriber discontinues its status as Subscriber at a future date, it is Subscriber's sole duty and liability to inform any approved successor Subscriber of the Terms and Conditions which shall be binding on any successor Subscriber.

Choice of Laws

A. Any agreement and any contract and any controversies arising thereunder shall be interpreted and adjudicated in accordance with the laws of the State of North Dakota, USA (without regard to the choice of law principles of any jurisdiction). Any dispute or controversy arising that is not settled to the mutual satisfaction of the parties within sixty (60) business days from the date that either party informs the other in writing that such dispute exists shall be commenced in a district court of Ransom County, North Dakota or be forever waived by this contractual period of limitations on legal actions. All litigation shall be venued in Ransom County, North Dakota.
